Appointment of the Company’s auditors.
Members who so request with five (5) days’ notice prior to the meeting may attend the meeting by videoconference, in accordance with the provisions of article eleven of the Company’s bylaws.
Finally, shareholders who so wish may exercise their right to information in accordance with the provisions of Article 197 of the Capital Companies Act.

SECTION FOR EMPLOYEES (art. 5.5 RDME)
As contemplated in the structural modification project prepared by the boards of directors of SA MINERA CATALANO ARAGONESA (“SAMCA”) and FLATIRON INVERSIONES, SL (“FLATIRON”), a special merger by absorption of a wholly-owned company is foreseen, being SAMCA the absorbing company and FLATIRON the absorbed company. Hereinafter, the “Merger“.
In accordance with the provisions of article 53 of Royal Decree-Law 5/2023, of June 28, regarding the transposition of European Union Directives on structural modifications of commercial companies (hereinafter “RDME“), this type of merger does not require the issuance of the directors’ report provided for in article 5 of the RDME in the event of a unanimous resolution adopted by the universal General Meeting.
Notwithstanding the foregoing, and despite the fact that this is a purely internal amendment (art. 5.8 RDME), this document is prepared only with regard to the content of the report intended for the employees of the companies involved in the Merger (art. 5.5 RDME), in accordance with the provisions of article 9.2 RDME.
As a consequence of the Merger, SAMCA is subrogated to all the rights and obligations held by the employees of FLATIRON, with full maintenance of their working conditions, with no consequences foreseen for the employment of the employees of the companies participating in the merger.
